    Counsel to Enersis S.A. on its corporate restructuring which consisted on its division and subsequent merger with the companies resulting from the division of Endesa S.A. and Chilectra S.A. The restructuring of these three companies, one of which was Enersis, regrouped all generation and distribution assets of those companies that were located outside of Chile, into a single large company called Enel Américas S.A. As a result of such restructuring, and in addition to Enel Americas S.A., the generation and distribution assets in Chile remained separately held by three companies. These companies are: (i) Enel Chile S.A, which is the company that resulted from the division of the former Enersis S.A., and that holds its Chilean assets; (ii) Enel Generación Chile S.A., which is the former Endesa; and Enel Distribución Chile S.A, which is the former Chilectra. This transaction involved a very important group of energy companies (electricity) in Chile and in several Latin American countries.
